These Terms of Service ("Terms") govern your access to and use of the website and services provided by Optimus Robotics Inc ("Optimus Robotics", "we", "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
Optimus Robotics designs and develops custom software solutions, including web applications, business management systems, workflow automation tools and enterprise software tailored to client requirements. The specific scope, deliverables, timeline and fees for any engagement are defined in a separate written agreement or statement of work.
2. Client responsibilities
You agree to provide accurate information, timely feedback, and any access or materials reasonably required for us to perform the services. Delays caused by incomplete information or late approvals may affect agreed timelines.
3. Fees and payment
Fees, payment schedules and invoicing terms are set out in the applicable statement of work. Unless stated otherwise, invoices are due within thirty (30) days of the invoice date. Overdue amounts may be subject to a reasonable late fee.
4. Intellectual property
Upon full payment, ownership of the custom deliverables created for you under a statement of work transfers to you, except for any pre-existing tools, libraries, or components owned by Optimus Robotics or third parties, which are licensed to you as needed to use the deliverables.
5. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement, and to use it only for the purpose of performing under the agreement.
6. Warranties and disclaimers
We perform our services in a professional and workmanlike manner. Except as expressly stated, our website and services are provided "as is" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
7. Limitation of liability
To the fullest extent permitted by law, Optimus Robotics shall not be liable for any indirect, incidental, or consequential damages. Our total liability arising out of an engagement shall not exceed the fees paid for that engagement.
8. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York, NY.
